LexconX Terms of Service

Welcome to LexconX, the online learning and professional development platform operated by CMI Legal Solutions Ltd (Company Registration No. 15121986), registered in England & Wales, with its registered office at HQ, 141–142 Lower Marsh, Waterloo, London, SE1 7AE (“LexconX”, “we”, “us”, or “our”).
These Terms of Service (“Terms”) govern your access to and use of the LexconX website, mobile apps, software, learning platform, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Platform.

LexconX Services Overview
1.1. Services: We provide educational materials, training modules, webinars, workshops, events, and cohort-based programmes delivered live or recorded via the Platform (collectively, the “Offerings” or “Services”).
1.2. Partners: “Partners” means educational institutions, corporate organisations, or other entities that create and deliver Offerings using tools provided by LexconX and make those Offerings available to you through the Platform. Completion of a course under a paid subscription (the “Certificate Track”) may, at the discretion of LexconX or the relevant Partner, result in the issuance of a verified Certificate of Completion. Unless otherwise specified, learners accessing content outside a paid subscription will not be eligible to receive Certificates.
1.3. Partner Content: Some Offerings are created and delivered by independent instructors or Partner Institutions. Unless expressly stated otherwise, such Partners are responsible for the content and delivery of their respective Offerings. LexconX is not responsible for and does not endorse Partner Content unless expressly stated otherwise.
1.4. Certificate: We may issue Certificates of Completion for certain Offerings; unless expressly stated, these certificates are acknowledgements of participation and are not regulated academic or professional qualifications. Certificates may not represent formal qualifications or professional accreditation.

Eligibility
2.1. Eligibility: By agreeing to these Terms, you represent and warrant that:
- you are at least 18 years old (or the legal age of majority in your jurisdiction);
- you have not been suspended or removed from the Platform; and
- your registration and use of the Platform comply with applicable laws.
2.2. Supervision of Minors: If you are under 18 years of age, you may use the Services only under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
2.3. Prohibited Use: Usage of the Platform is void where prohibited by law.

Accounts and Registration
3.1. You must register for an account to access most Platform features. You agree that all information you provide (name, email, contact details, etc.) is accurate and will be kept updated.
3.2. If you register for and use the Platform in your personal capacity, you are an Individual User and may access the Offerings for your own learning and professional development (“Individual User”).
3.3. If you register or are granted access to the Platform on behalf of a company, firm, school, university, or other organisation (“Corporate User”), you represent that you are authorised to bind that entity to these Terms. Corporate Users may authorise employees, students, consultants, or other representatives (“Authorised Users”) to access the Platform under their account, provided that the Corporate User remains responsible for all such use and for ensuring compliance with these Terms by its Authorised Users.
3.4. You are responsible for maintaining confidentiality of your username and password and for all activity under your account.
3.5. If you believe your account is compromised, you must immediately notify us at support@lexconx.com. LexconX will not be liable for any loss or damage arising from your failure to safeguard your credentials.
3.6. LexconX reserves the right to suspend or terminate your account if information provided is inaccurate or misleading, or if you violate these Terms.

Use of Services
4.1. You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in any manner that could disable, damage, or impair LexconX systems;
- Interfere with or disrupt other users’ access;
- Copy, modify, distribute, sell, or lease any part of the Services without written consent;
- Use the Services to transmit or post unlawful, defamatory, or harmful content;
- Attempt to gain unauthorized access to the Services or related systems or interfere with any security features of the Platform.
4.2. LexconX reserves the right to monitor usage for compliance and to suspend or terminate access in case of violation or where required to protect data security or prevent misuse of personal data.

Payments, Billing, Subscriptions and Pilot Programmes
5.1. Pricing & Payment: All fees are displayed at checkout and payable in the indicated currency, displayed prices are exclusive of taxes unless otherwise indicated. Payments are processed through third-party payment processors, whose terms also apply. LexconX reserves the right to determine and modify pricing for any Offering.
5.2. Authorisation: You authorise LexconX to charge all applicable fees, taxes, and charges to your designated payment method. Pre-authorisation of your card may occur to verify validity and available credit.

Subscriptions
6.1. Subscription Offerings: Certain plans provide automatically recurring billing for ongoing access to specified Offerings (“Subscription Offerings”). By subscribing, you authorise LexconX or its payment processor to automatically charge Subscription Fees at the start of each renewal period until cancelled.
6.2. Free Trials: Some subscriptions may begin with a one-time free trial period. The duration and applicable fee for each Subscription Offering are shown at the time of subscription.
6.3. Billing Cycle: Your paid subscription begins on the date of first purchase (after any free trial) and continues for the subscription term (“Subscription Period”), renewing automatically unless cancelled.
6.4. Updating Payment Details: You must keep your payment information current. Failure to process payment may lead to suspension of access.
6.5. Cancellation: You may cancel by visiting “Manage My Subscription” in your Account settings. Cancellation must be received before renewal to avoid the next charge. For subscriptions with a free trial, cancellation before trial end prevents the initial fee from being charged.
6.6. Refunds and Cancellations: As Offerings are digital, refunds are not available once access is granted, except where required by the applicable law or if LexconX cancels an Offering. Refund or credit requests should be directed to support@lexconx.com.
6.7. Taxes: You are responsible for applicable taxes unless stated otherwise. Taxes may be displayed as included or added at checkout.

Intellectual Property and Licences
7.1. LexconX IP: All rights in and to the Platform, software, logos, branding, and proprietary materials belong to CMI Legal Solutions Ltd or its licensors.
7.2. Limited Licence: Subject to your compliance with these Terms, LexconX grants you a limited, non-exclusive, non-transferable licence to access and use the Platform for personal, non-commercial use.
7.3. Restrictions: You may not copy, modify, reverse engineer, distribute, or otherwise exploit any part of the Platform except as permitted by law.
7.4. Feedback: If you provide feedback or suggestions, you grant LexconX a perpetual, royalty-free licence to use them without obligation to attribute or compensate you in any manner whatsoever.

Third-Party Services and Linked Websites
8.1. The Platform may link or integrate with third-party tools (e.g., webinar systems, payment gateways, analytics). LexconX is not responsible for their performance or content.
8.2. Use of third-party sites or services is at your own risk and governed by their terms.
8.3. LexconX disclaims responsibility for data handling or processing by third-party services integrated into the Platform.

User Content
9.1. You grant LexconX a worldwide, royalty-free licence to host, display, reproduce, and distribute your content for the purpose of operating, promoting, or improving the Platform.
9.2. You represent that you have necessary rights to your content and that it does not infringe or violate third-party rights.
9.3. LexconX reserves the right to remove User Content that violates these Terms or is deemed inappropriate.
9.4. We are not responsible for user-generated content and do not endorse views expressed therein.

Course Enrolment and Certification
10.1. When you enrol in a course, webinar, or event, LexconX grants you a license to access the relevant materials only for your personal use during the applicable period.
10.2. Course enrolment does not transfer any intellectual property rights.
10.3. Certificates or digital badges of completion may be issued by LexconX or its Content Partners, subject to successful completion of applicable requirements. LexconX does not guarantee employment or academic credit through participation in any course or program.

Third-Party Content
11.1. Any third-party instructors or content providers act independently, and their views do not represent those of LexconX.
11.2. Unless expressly stated, offerings do not grant professional accreditation.
11.3. LexconX does not guarantee the accuracy or reliability of any third-party information. LexconX is not responsible for the privacy practices of Partner Institutions or third-party content providers, and their respective privacy policies will govern the handling of personal data within their Offerings.

Prohibited Conduct
12.1. You must not:
- Use the Platform for unlawful purposes;
- Harass, threaten, or harm others;
- Post defamatory, obscene, or discriminatory material;
- Interfere with or disrupt Platform security or operations;
- Attempt to gain unauthorised access to any account or system; or
- Use bots, scrapers, or similar tools to extract Platform data.

Data Protection and Privacy
13.1. LexconX acts as a data controller for personal data processed through the Platform and manages such data in accordance with UK GDPR and Data Protection Act, 2018.
13.2. Our collection, use, disclosure, and safeguarding of personal data are described in our [Privacy Policy] (insert link). By using the Platform, you acknowledge that you have read and understood our Privacy Policy.

Monitoring, Recordings, and Publicity
14.1. LexconX may record live sessions, webinars or workshops for quality, assurance, compliance, or training purposes. Participants will be notified prior to or at the start of each recorded session. By joining a recorded session, you consent to such recording and its use for the limited purposes described in our Privacy Policy. If you do not wish to be recorded, please notify us in advance or avoid participation in recorded segment.
14.2. Avoid sharing confidential information during publicly accessible sessions.

Suspension and Termination
15.1. LexconX may suspend or terminate your account for breach, non-payment, or legal reasons. Upon termination:
- All rights granted under these Terms shall cease;
- You must immediately stop using the Services;
- Provisions that by their nature should survive termination (including intellectual property, indemnity, and limitation of liability) shall remain in effect;
- Any outstanding fees or charges remain payable upon termination.

Disclaimers
16.1. The Services and all related content are provided “as is” and “as available” without warranty of any kind, express or implied. LexconX does not guarantee that:
- The Services will be uninterrupted, secure, or error-free;
- Content will be accurate, complete, or up to date;
- Results from using the Services will meet your expectations;
- Your use of the Services is at your sole risk.

Limitations of Liability
17.1. To the maximum extent permitted by law, LexconX, its affiliates, directors, employees, or partners shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, data, or goodwill;
- Damages resulting from your use or inability to use the Services.

Indemnity
18.1. You agree to indemnify and hold harmless LexconX, its affiliates, and personnel from claims, damages, or reasonable expenses arising from:
- Your use of the Services;
- Your violation of these Terms;
- Your infringement of any third-party rights.

IP Complaints
19.1. To report alleged intellectual property right infringement, contact support@lexconx.com with full details. LexconX will respond within a reasonable period after receipt of a valid notice.

Force Majeure
20.1. LexconX is not liable for delays or failures caused by events beyond its control (natural disasters, strikes, pandemics, etc.).

Governing Law and Jurisdiction
21.1. These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of its courts.

Modification
22.1. LexconX may amend or update these Terms from time to time at its discretion. Changes will take effect upon posting on the Platform (or on the stated effective date). While we may provide notice of material updates, you are responsible for reviewing the Terms periodically. Continued use of the Platform after any changes constitutes your acceptance of the revised Terms.

Miscellaneous
23.1. These Terms constitute the entire agreement between you and LexconX, and supersede any prior representations or agreements, whether written or oral.
23.2. If any provision is invalid, the rest remain in effect.
23.3. No waiver of rights is deemed unless in writing.
